LendInvest launches 8.25% Notes due 2030 and Exchange Offer

We’re pleased to announce the launch of a new series of 8.25 per cent Notes due 2030 (the “New Bonds”) to be issued by LendInvest Secured Income III plc (the “Issuer”).

At the same time, the Issuer and LendInvest plc have made an Exchange Offer to holders of the outstanding 11.5 per cent. Notes due 2026 (the “2026 Bonds”) and 6.5 per cent. Notes due 2027 (the “2027 Bonds”), each issued by LendInvest Secured Income II plc, inviting them to exchange their 2026 Bonds and/or 2027 Bonds for New Bonds.

This issuance marks another step in the LendInvest Group’s long-term strategy to broaden access to property finance asset investment.

New Bond Key Terms

The New Bonds carry a fixed coupon of 8.25 per cent per annum, payable semi-annually over their 5-year term, and will mature in 2030. They will be backed by a first floating charge over a pool of Eligible Loans, which primarily comprise UK residential, buy-to-let, bridging and development loans.

The New Bonds will be subject to a partial 20 per cent guarantee from LendInvest plc (the Guarantor), as further described in the Base Prospectus and Final Terms.

  • Minimum initial subscription amount is £1,000, with multiples of £100 thereafter.
  • Application will be made for the New Bonds to be admitted to the Official List of the FCA and to trading on the London Stock Exchange’s ORB market.
  • The Offer Period is expected to close on 11 November 2025 but may close sooner.

The New Bonds will be made available through authorised distributors including AJ Bell, Hargreaves Lansdown and Interactive Investor.

Exchange Offer Details

Under the Exchange Offer, holders of the 2027 Bonds are being invited to offer their bonds for exchange for New Bonds at a ratio of 1:1, while holders of the 2026 Bonds are being invited to offer their bonds for exchange at a ratio of 104.5:100 (i.e. for every £100 of 2026 Bonds accepted for exchange, the holder will receive £104.50 of New Bonds, subject to a cash rounding payment in respect of any portion in excess of a multiple of £100).

Holders of the 2026 Bonds and/or 2027 Bonds can participate in the Exchange Offer through

Important Regulatory Information:

  • The New Bonds are not protected by the Financial Services Compensation Scheme (FSCS).
